FEELIATE TERMS AND CONDITIONS (PROMOTERS / AFFILIATES)
1. APPLICABILITY
These Terms and Conditions apply to all Services performed by the Promoter (also referred to as “Affiliate”) for Feeliate.
By registering via the Registration Form and accepting these Terms and Conditions, the Promoter agrees to be legally bound by them.
These Terms and Conditions, together with:
• the Registration Form,
• the Privacy Policy,
• applicable Insertion Orders,
• and any written additional agreements,
collectively form the agreement between Feeliate and the Promoter (the “Agreement”).
In the event of conflict between documents, the following order of precedence applies:
1. Specific written agreement or Insertion Order
2. These Terms and Conditions
3. Policies incorporated by reference
The applicability of any other terms and conditions is explicitly excluded.
Feeliate reserves the right to amend these Terms. Amendments shall not apply retroactively to finalized commissions and will be communicated in advance.
2. DEFINITIONS
“Ads” – Commercial content relating to an Advertiser or Campaign.
“Advertiser” – A legal or natural person acting in the course of business engaging Feeliate for Campaign distribution.
“Artificial Traffic” – Invalid Conversions, including but not limited to automated traffic, bots, scripts, forced clicks, cookie stuffing, non-human activity, or traffic without genuine user intent.
“Campaign” – An advertisement campaign of an Advertiser.
“Commission” – The compensation payable for valid, approved Conversions, subject to validation and attribution rules.
“Conversion” – A qualifying action defined per Campaign (e.g. CPM, CPA, CPC, CPL, CPD, CPPU, CPAU, CPI).
“Dashboard” – Promoter’s account interface.
“Feeliate” – Kiiroo B.V., a limited liability company under Dutch law.
“Insertion Order” – Campaign-specific commercial terms.
“Landing Page” – Campaign URL embedding the Tracking Code.
“Promoter” / “Affiliate” – Any legal person or natural person acting in the course of trade promoting Campaigns.
“Services” – Promotional and traffic generation services performed by Promoter.
“Tracking Code” – Technology used to measure Conversions.
3. REGISTRATION, TERM & TERMINATION
Registration occurs upon acceptance by Feeliate.
The Agreement enters into force upon registration and remains in effect for an indefinite period.
Either party may terminate the Agreement at any time by written notice.
Feeliate may suspend or terminate immediately in case of:
• Fraud
• Artificial Traffic
• Attribution manipulation
• Legal violations
• Material breach
Upon termination:
• Promoter must immediately cease Services
• Remove all links and Campaign materials
• Delete confidential information
• Cease references to Feeliate
No Commission is payable for Conversions generated after termination.
4. PERFORMANCE OF SERVICES
Promoter shall:
• Perform Services with professional skill and care
• Comply with all applicable laws (including GDPR)
• Follow instructions from Feeliate
• Avoid misleading or unlawful content
• Ensure compliance with local laws
• Provide proper age ratings where required
Promoter is responsible for all activity under its account.
Campaigns may be modified or terminated by Feeliate at any time. Promoter may cease participation if it does not accept modifications.
5. PAYMENT & COMMISSION
5.1 Commission Entitlement
Commission entitlement arises only where the Promoter has materially contributed to the relevant Conversion in accordance with Feeliate’s attribution framework.
No Commission is earned solely on the basis of technical last-click attribution.
5.2 Attribution Framework
Feeliate operates a structured attribution model distinguishing between:
• Active Traffic (genuine demand creation)
• Passive Traffic (interception, retargeting, coupon layering)
Feeliate may:
• Classify Promoters into traffic groups
• Apply attribution priority rules
• Apply de-duplication logic
• Deny, reduce, or reassign commission
• Apply differentiated commission structures
No guarantee of last-click attribution is provided.
5.3 Validation & Finalization
Commissions are recorded as Pending Credit.
All Conversions remain subject to validation, including:
• Cancellations
• Refunds
• Chargebacks
• Fraud detection
• Attribution validation
• Advertiser rejection
Commission figures become final and binding on the 15th day of the month following the month in which Conversions occurred (“Finalization Date”).
Only after this date do Conversions become Confirmed Credit.
5.4 Payment Schedule
Payments are made on a NET 30 basis following Finalization.
Minimum payout thresholds apply as stated in the Dashboard.
5.5 Post-Approval Reversals
Feeliate may reverse Confirmed Credit or previously paid Commission in case of:
• Chargebacks
• Advertiser non-payment
• Fraud
• Artificial Traffic
• Attribution manipulation
• Technical errors
Reversed amounts may be deducted from future payouts or invoiced.
5.6 Data as Evidence
Feeliate’s tracking data constitutes binding evidence for Commission calculation, subject to reasonable counter-evidence by Promoter.
Invoice disputes must be raised within 14 days.
6. PROHIBITED TRAFFIC (ZERO TOLERANCE)
Unless explicitly approved in writing:
• Bots or automated traffic
• Incentivized traffic
• Coupon/voucher traffic
• Brand bidding
• Toolbar/adware/malware
• Forced clicks or redirects
• Fake reviews
• Traffic violating platform rules
Commissions generated via such methods are invalid and non-payable.
7. INTELLECTUAL PROPERTY
All IP remains with Feeliate or Advertiser.
Promoter receives a limited, non-transferable license solely for Campaign promotion.
License terminates automatically upon termination.
8. LIABILITY & INDEMNIFICATION
Except in cases of wilful misconduct or gross negligence (opzet of bewuste roekeloosheid):
Feeliate’s total liability is limited to the total Commission paid to the Promoter during the three (3) months preceding the claim.
Indirect or consequential damages are excluded.
Claims lapse 12 months after the earlier of discovery or termination.
Promoter indemnifies Feeliate against third-party claims arising from breach, fraud, or unlawful conduct.
9. CONFIDENTIALITY
Parties shall protect confidential information.
Obligations survive termination.
10. DATA PROTECTION
Parties shall comply with GDPR and applicable laws.
Promoter must implement appropriate security measures.
11. NO PARTNERSHIP
Nothing creates a partnership, agency, or employment relationship.
12. MISCELLANEOUS
Promoter warrants information accuracy.
Assignment requires written consent.
Invalid provisions shall be replaced in line with original intent.
13. GOVERNING LAW & JURISDICTION
Dutch law applies.
Exclusive jurisdiction: competent court in Amsterdam.
